SeaQuill Writers

The Co-Op and Co-Op Member agree to the following:

SeaQuill Writers, LLC, Cooperative agrees to provide the Co-op Member:

1. Access to marketing support. Marketing support will come from the Co-op website which will be set up primarily to draw traffic to the website and provide Co-op authors exposure for themselves and their book.

     The Co-op will review and post:

1. An author bio on the Co-op website.
2. Author’s book covers on the Co-op website.
3. Direct links where the author’s books can be purchased.
4. All Co-op web content. The Co-op reserves the right to refuse to display on its website inappropriate book covers and content that include, but are not limited to, graphic sex and/or violence. We strive to maintain a tasteful, family-friendly web presence.

2. Access to Co-op Member-only website page. The Co-op will feature publishing lessons learned from Co-op Members and veteran authors.
   1. Co-op author clearinghouse. The Co-op’s Member-only section will feature services of professionals that Members have used, such as editors, formatters, book cover designers, etc. The Co-op is not responsible for providing those services.
   2. Author tips. The Co-op will strive to give Members helpful information regarding publishing and marketing.

3. Access to ISBNs under the imprint of the publisher SeaQuill Press. Publishing rights will be assigned to SeaQuill Press if the Member chooses to use these ISBNs.

4. Control over decisions on your book. The Co-op and SeaQuill Press will not exercise decision-making authority over an author’s intellectual property. The author retains copyright and distribution rights. In the event the author does not use SeaQuill Press ISBNs, the author also retains publishing rights.

5. Association with the Co-op as an LLC. SeaQuill Writers, LLC, Cooperative is legally governed under Florida law as a Limited Liability Corporation. This means the Co-op Members, Officers or Co-op are not personally or individually liable for the company’s debts or liabilities. Limited liability companies are hybrid entities that combine the characteristics of a corporation with those of a partnership or sole proprietorship.

The applicant for membership in SeaQuill Writers, LLC, Cooperative agrees to:

1. Pay Co-op fees and dues.
   150. Joining fee. The applicant becomes a Member once the Co-op treasurer receives a non-refundable one-time entrance fee of $150.00.
   151. Dues. The Member agrees to pay annual dues of $100 starting one year after joining the Co-op.
   152. Fees and dues are payable upon the receipt of an invoice from the Co-op.

2. Contribute to the Co-op website.
   1. The Member agrees to submit a minimum of one blog post a year that includes writing-related personal experiences to help Members in the publishing, marketing
   2. Members are invited to refer proven service providers such as editors, formatters, and graphic artists, for a Co-op listing of suggested experts.

Length of Term of Agreement

1. This Agreement will begin on the date of the Member’s approved application and remain in full force and effect indefinitely until terminated as provided for in this Agreement
2. This Agreement may be terminated at any time by mutual agreement of the parties.
   1. Either party wishing to terminate this Agreement must provide written notice to the other party. An email notice will suffice.
   2. Obligations of the Member will end upon the termination of this Agreement
   3. The Co-op will honor membership rights for the remainder of the period for which dues were paid, unless the Member was terminated for violating this Agreement.

Currency

All monetary amounts referred to in this Agreement are in USD (US Dollars).
